!language en-us Dreamtonics Synthesizer V Voice Database End-User License Agreement (Last Revision 2023/4/14) 1 Definitions 1.1 Dreamtonics: Dreamtonics Co. Ltd. (and its subsidiaries), a liability limited company established and exists according to the laws of Japan, specializing in computer music and voice technology. 1.2 Singing Voice Database: singing voice database used for Synthesizer V Studio based on the singing voice synthesis engine of Dreamtonics, abbreviated as ‘SVD’ in this Agreement. 1.3 Feature-Limited Trial: a restricted version of the Singing Voice Database provided by Dreamtonics for evaluation purposes, allowing users to access and experience select features and functionalities of the software with certain limitations as determined by Dreamtonics. Also referred to as "FLT" within this Agreement. 1.4 Person: any natural person, legal person, or organization without a legal personality. 1.5 The User: any natural person who uses this SVD under the conditions herein, is also referred to as “You” or “Your” if used as possessive in this Agreement. 2 General Software License 2.1 Dreamtonics grants the User a single nonexclusive license to use this SVD only on the condition that the User complies in good faith with this Agreement. This SVD is and remains the sole property of Dreamtonics. To grant this license to You shall not affect Dreamtonics to grant other Person the same or different licenses. 2.2 You are not permitted to sell, sublicense, share, lease, or otherwise transfer rights to this SVD to any third party. 2.3 You will be given an activation code to activate this SVD, except in the case of Feature-Limited Trial. You shall handle the activation code with care and You shall not disclose or share it with any third party. Dreamtonics is not responsible for damages caused by inadequate management of activation codes, malpractices in the usage, or any usage by a third party. For FLTs, separate terms and conditions regarding access and usage may apply as determined by Dreamtonics. 2.4 The license granted by Dreamtonics to the User allows this SVD to be used only by one natural person and to be installed only on limited devices (designated by Dreamtonics) owned by the same User. In the event that this SVD is purchased by an entity or an organization, each natural person within this entity or organization should obtain a separate license. 2.5 If Dreamtonics has evidence to prove that one license of this SVD is used by multiple natural persons, Dreamtonics has the right to immediately terminate the license without any compensation and without notice to the User. 2.6 This SVD is only licensed to be used together with Synthesizer V Studio. In the event that You pursue the full nature of this SVD, You should otherwise purchase Synthesizer V Studio Pro. The function of SVD will be limited when You use the free version of the Synthesizer V Studio. If You want to use this SVD independently, for example embedding into an application, You may pay an additional price and contact Dreamtonics to facilitate it. 2.7 You must not take any measure, such as reverse engineering, reverse compilation, or reverse assemble, etc. that result in the extraction of information such as basic concepts, structure, and machine code for this software/algorithm. You must not attempt to bypass the copyright protection technology and technical limitations of the software. 2.8 Dreamtonics grants you the right to update this SVD free of charge, within the same major version. 2.9 When You use this SVD, your device will automatically contact the servers of Dreamtonics from time to time. You may be charged separately by a telecommunication carrier for this internet communication. 2.10 For operational or technical reasons, Dreamtonics may temporarily suspend or restrict the use of this SVD without notice to You. For the same reason, the provision of this SVD may be delayed. 3 Usage Rights and Conditions 3.1 Dreamtonics grants the User rights to: (1) Use Synthesizer V Studio with this SVD to produce singing voice (such singing voice produced hereinafter are referred to as ‘Rendition’), without any limitation on the quantity of the Renditions and free of additional charge for each Rendition. (2) Publish (“Present”) the Renditions or include the Renditions in publishable media, including but not limited to videos, CDs, DVDs, websites, podcasts, multimedia presentations, films, television, and radio broadcasts, complying with relative governing laws, non-commercially or commercially, directly or indirectly for and only for the benefits of You without any additional charge from Dreamtonics. 3.2 Under the condition that: (1) When Presenting a Rendition, the User must not use names other than designated by Dreamtonics to identify the SVD. (2) Any compilation of the Renditions must not be Presented in isolation that facilitates the creation of derived works by a third party. For example, the creation of re-licensable sample packs from the SVD is strictly prohibited. (3) Renditions must not be used as the input to a singing synthesis or speech synthesis model, algorithm, application or any data-driven workflow that generates singing voice or speech. (4) You must not conduct any of the following acts, or any act that may lead to such acts: a. Erasing, deleting, modifying or falsifying the copyright information or trademarks of this SVD, or any action that infringes or may infringe Dreamtonics’ copyrights. b. Slander or defamation of Dreamtonics. c. Any action that violates or may violate privacy. d. Any action that is against public order and morals, or an act of disclosing obscene Rendition to others. e. Any action that interferes with the operation and usage of this SVD by other users. f. Any action that violates the governing laws. (5) Notwithstanding 3.1(2), commercial usage of SVDs licensed under Feature-Limited Trial (FLT) is strictly prohibited. 4 Liability Limitation of Dreamtonics 4.1 No quality guarantee of Rendition is made by Dreamtonics. No function guarantee of this SVD is promised by Dreamtonics. No guarantee for the immediate access or availability to this SVD or Synthesizer V Studio when You use them. Dreamtonics will not be liable for any loss or damage incurred by the User in using this SVD. 4.2 You shall indemnify and hold harmless Dreamtonics from any third party claims, damages, liabilities, costs and fees (including reasonable attorney fees) arising from Your usage of this SVD as well as from your failure to comply with any term of this Agreement. Under no circumstances and under no legal theory will Dreamtonics’ liability hereunder exceed the price paid by You for this SVD. 4.3 Dreamtonics will collect the IP address, the device identity information, the operation system information of Your device, and the email address, contact information of You when You use this SVD and Synthesizer V Studio. If necessary, Dreamtonics will collect more information for implementing this Agreement. The User confirms the authorization to Dreamtonics to do so, and Dreamtonics shall keep such information confidential and shall only use such information for the target of this Agreement. 5 Miscellaneous Items 5.1 Dreamtonics may change the content of this Agreement without prior notice to the User. Such modification will take effect at once when it is made. This Agreement may be terminated by the sole resolution of Dreamtonics if You breach this Agreement. 5.2 This Agreement is deemed to have been entered into in Japan, and any dispute arising under this Agreement shall be resolved in accordance with the laws of Japan in the Tokyo District Court in Tokyo, Japan. !language ja-jp Dreamtonics Synthesizer V Voice Database End-User License Agreement (最終改訂 2022/3/2) 1 定義 1.1 Dreamtonics: Dreamtonics株式会社(その子会社を含む)の略称。コンピュータ音楽・音声技術を開発する、日本法に基づいて設立された有限責任会社です。 1.2 歌声データベース: Dreamtonics社の歌声合成エンジンをベースにしたSynthesizer V Studioで使用する歌声データベースを指します。本契約では「SVD」と略称します。 1.3 機能限定版: Dreamtonicsが機能評価を目的で提供する「歌声データベース」の機能制限バージョンです。Dreamtonicsが許諾する範囲のもとで、ユーザーが特定の機能等を体験することができます。本契約では「FLT」と略称します。 1.4 人: 自然人、法人、又は法人格を持たない組織 1.5 ユーザー: 本契約の条件の下でこのSVDを使用する自然人は、本契約で所有格で使用される場合、「あなた」または「あなたの」と呼称します。 2 一般的ソフトウェアライセンス 2.1 Dreamtonicsは、ユーザーが本契約を遵守することを条件とし、このSVDを使用するための非独占的ライセンス1ライセンスをユーザーに付与します。このSVDは、Dreamtonicsが単独所有権を有します。このライセンスをあなたに付与することは、Dreamtonicsが他の人に同じ、または別のライセンスを付与することに影響を与えないものとします。 2.2 このSVDの権利を第三者に販売、サブライセンス、共有、リース、またはその他の方法で譲渡することを禁止します。 2.3 このSVDをアクティベートするためのアクティベーションコードが提供されます。(機能限定版を除く)アクティベーションコードは慎重に取り扱ってください。また、第三者に開示、または共有することはできません。 Dreamtonicsは、ユーザーによるアクティベーションコードの不適切な管理や使用、または第三者による使用によって生じた損害については一切責任を負いかねます。機能限定版においては、その利用規約及び機能制限、利用方法が別途Dreamtonicsによって定められている場合があります。 2.4 Dreamtonicsからユーザーに付与されたライセンスにより、このSVDは1人の自然人ユーザーのみが使用でき、同ユーザーが所有する限られたコンピュータ（Dreamtonicsが指定）にのみインストールが可能です。団体または組織がSVDを購入する場合には、その団体または組織内の各自然人ユーザーが個別のライセンスを取得する必要があります。 2.5 Dreamtonicsが、このSVDの同じライセンスが複数の自然人によって使用されていることを証明する証拠等を有している場合、Dreamtonicsは、ユーザーへの通知や補償なく、ライセンスを直ちに終了する権利を有します。 2.6 このSVDは、Synthesizer V Studioと一緒に使用する目的のためにのみライセンスされています。このSVDの機能を最大限利用するには、Synthesizer V Studio Proをご購入ください。無料版のSynthesizer V Studioでは、いくつかのSVDの機能が制限されています。また、SVDを別の目的で使用したい、例えば、アプリケーションに埋め込みたい、などのご要望がございましたら、別途御見積もりをご用意させて頂きますので、Dreamtonicsまでご連絡ください。 2.7 このソフトウェア、またはそのアルゴリズムの基本コンセプト、構造、マシンコードなどの情報を抽出するような、リバースエンジニアリング、リバースコンパイル、リバースアセンブル等を禁止します。またソフトウェアの著作権保護技術や製品の技術的な制限を回避しようと試みることを禁止します。 2.8 Dreamtonicsは、ソフトウェアの同じメジャーバージョン内でこのSVDを無料で更新する権利を付与します。 2.9 このSVDを使用する際には、コンピュータはDreamtonicsのサーバーに自動的に接続することがあります。このインターネット通信料金については、インターネットプロバイダ等から別途請求される場合があります。 2.10 運営上または技術上の理由により、Dreamtonicsは、ユーザーへの通知なしに、このSVDの使用を一時的に停止または制限する場合があります。 また同理由で、SVDの提供が遅れる場合があります。 3 使用権と条件 3.1 Dreamtonicsは、ユーザーに以下の行為を許可します: (1) Synthesizer V Studioと本SVDを使用し、制作可能な合成音声（以下、「合成音声」と呼びます）を制作数の制限や追加料金などなく生成すること。 (2) 関連する法律等を遵守しながら、合成音声を公開（発表）すること、またはビデオ、CD、DVD、ウェブサイト、ポッドキャスト、マルチメディアプレゼンテーション、映画、テレビ、ラジオ放送などの公開可能なメディアに合成音声を含めること。この公開にあたっては、直接的または間接的にDreamtonicsからの追加料金なく、非営利目的または営利目的で行っていただけます。 3.2 上記の許諾に関して、以下の項目を遵守することが条件となります: (1) 合成音声を公開する場合、ユーザーは、SVDを識別するためにDreamtonicsによって指定された名前以外の名前を使用しないでください。 (2) 合成音声のコンピレーションは、第三者が派生作品を作成する目的に使用可能な単独の状態で公開してはなりません。たとえば、SVDから再ライセンス可能なサンプルパックを作成することは固く禁止いたします。 (3) 合成音声は、歌唱合成または音声合成モデル、アルゴリズム、アプリケーション、または歌声または音声を生成するデータドリブンのワークフローへの入力として使用しないでください。 (4) 次の行為、または次の行為につながる可能性のある行為を行うことを禁じます。 a. このSVDの著作権情報または商標、あるいはDreamtonicsの著作権を侵害する、または侵害する可能性のある行為の消去、削除、変更、または改ざん。 b.
